Payment Policy

These Baselane Payment Terms (“Payment Terms”) are incorporated by reference into, and made a part of, the Baselane Terms of Use for Landlords (the “Landlord Terms”) and the Baselane Terms of Use for Tenants (the “Tenant Terms”). Capitalized terms used in these Payment Terms, but not defined, have the meanings given in the Landlord Terms or the Tenant Terms, as applicable. These Payment Terms apply to your use of any of Baselane’s Services for which payment is required or through which payment is made (“Paid Services”), as indicated by Baselane, including on or through the Services (including without limitation the payment of rent and the Service Subscription (defined below)). Please read these Payment Terms carefully. For the avoidance of doubt, your use of Paid Services is also governed by the Landlord Terms and Tenant Terms, except that, if there is a conflict between the Landlord Terms or Tenant Terms and these Payment Terms, these Payment Terms will govern to the extent of the conflict with respect to the Paid Services only.

BY ACCESSING OR USING PAID SERVICES, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF PAID SERVICES, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS. IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THESE PAYMENT TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE PAID SERVICES.

1. GENERAL TERMS

1.1. Payment of Fees

You agree to pay all fees or charges to your Account in accordance with the fees, charges and billing terms in effect at the time a fee or charge is due and payable.

1.1.1. Rent Payments

Tenants may be able to use the Services to make rent payment to participating Landlords for properties connected to the Services. In such event, the payments will be processed in accordance with Section 3.1 and 3.3 of these Payment Terms. Please note that additional terms related to rent payment or collection through the Services are set forth in Section 3 below.

1.1.2. Payment Processing

You must provide a valid credit card (Visa, MasterCard, or any other issuer accepted by us) (a “Payment Provider”) as a condition to signing up for any part of the Services that requires payment, which may include without limitation signing up for a Service Subscription (defined below) or electing to use the rent payment feature (unless you opt to pay via ACH). Baselane uses Stripe, Inc. or its affiliates (collectively, “Stripe”) to execute online payment transactions using information you provide about your Payment Provider. By using the Payment Processing Services to execute Visa or Mastercard transactions, you agree to the Wells Fargo Financial Services Terms, and the BBVA USA Financial Services Terms. This may be updated from time to time. Any authorization you provide to make repeating automatic payments using the Service will remain in effect until cancelled. Your Payment Provider agreement governs your use of the designated credit card or PayPal account, and you must refer to that agreement, not this Agreement, to determine your rights and liabilities. You agree to immediately notify Baselane of any change in your billing address or the credit card used for payment hereunder. Baselane reserves the right at any time to change its prices and billing methods, either immediately upon posting on or through the Services or by e-mail delivery to you. By providing Baselane with your Payment Provider information or any other banking, credit/debit card, or other payment information, you authorize us to use it and disclose it to Stripe or other payment gateway providers for the purpose of processing the payments you authorize on or in connection with the Services. Payment Providers may also aggregate your information for other purposes, but only in ways that don’t identify you personally or disclose any personal information about you, and may disclose your personal information when necessary to comply with the law.

1.1.3. Fraud; Remedies

You agree to, and acknowledge, our right to investigate any and all transactions for fraud, and you agree to cooperate with any reasonable requests made by Baselane in an effort to investigate any fraud. Furthermore, if any payment you initiate using the Services does not successfully complete for any reason, Baselane reserves the right to seek payment from you via or outside the Services. Without limiting the foregoing, Baselane reserves the right to seek reimbursement from you if Baselane discovers a fraudulent, erroneous, or duplicate transaction related to your Account, or, in the case of Landlords, if Baselane receives a chargeback or reversal related to any Tenant payments for one of your properties for which you use the Services. You agree that Baselane has the right to obtain such reimbursement by charging your Account, your credit card, or any bank account associated with your Account, or obtaining reimbursement by any other lawful means, including using a third-party collection agency. In addition, reimbursable amounts will incur interest at a rate equal to the lesser 1.5% per month and the maximum rate permitted under applicable law, and you will be responsible for reimbursing Baselane for all its cost of collection (including attorneys’ fees). Failure to pay for reimbursements of a chargeback or a reversal of payment is cause for termination of your Account. The rights and remedies set forth in this Section 1.1.3 shall be in addition to, and not in place of or otherwise limiting, any and all other rights and remedies of Baselane.

2. NO REFUNDS. ALL FEES FOR, AND PAYMENTS MADE TO OR THROUGH, THE SERVICES ARE NON-REFUNDABLE.  BASELANE WILL NOT PROVIDE REFUNDS OR CREDITS FOR ANY REASON, INCLUDING WITHOUT LIMITATION ANY PARTIAL OR UNUSED PERIODS OF SERVICE.

3. ADDITIONAL TERMS RELATED TO RENT COLLECTION AND PAYMENT

As mentioned above, the Services may make available to you features and tools that you may be able to use to collect or pay rent for a property for which the Services are used. For example, Tenants can set up automatic, recurring payments to Landlords, provided that both parties have linked their bank accounts, or, in the case of Tenant, by linking a credit or debit card to the Services. The following additional terms also apply to use of the Services in connection with rent payment or collection:

3.1. If Tenants choose to pay rent via the ACH network, a $2.00 convenience fee will be incurred (each, a “ACH Fee”). Payment of the ACH Fee will be determined by the Landlord as displayed to Tenant by the Services and will either be (i) paid by the Tenant as an added charge to each ACH Tenant Payment, (ii) paid by the Landlord and displayed to Tenant as a waived fee, or (iii) in certain circumstances, not charged by Baselane and displayed to Tenant as a waived fee. For clarity, in case (ii) where the ACH Fee is paid by the Landlord, the fee will be deducted from the total rent payment received from Tenant and paid to the Landlord; and case (iii) will only apply in the following situations: (a) the Landlord is collecting the rent payment into a Baselane Banking account, or (b) Baselane has provided you with prior written notice that the ACH Fee will not be charged. Tenant acknowledges and agrees that (i) the applicability of the ACH Fee will be determined at the time the Tenant chooses to make a Tenant Payment without prior notice to the Tenant, and (ii) the applicability of the ACH Fee to prior Tenant Payments shall not be indicative of whether the ACH Fee will be applicable to future Tenant Payments. Additionally, if Tenants choose to pay rent via a debit or credit card, Tenants shall incur an additional 2.99% convenience fee (each, a “Card Fee”), which shall be based on, and added to, each Tenant Payment. 

3.2. Baselane never takes custody of money transferred using the Services, and we are not responsible for what recipients do with the payments.

3.3. If a Tenant Payment is rejected for Non-Sufficient Funds (“NSF”), it will be the Tenant’s responsibility to initiate a new transaction or to make the Tenant Payment in some other manner and pay Baselane the NSF fee. It will be the Landlord’s responsibility to assess a late Tenant Payment fee, if any, to Tenant. Tenant will be required to pay the NSF fee, and any late fees assessed by the Landlord, on or before the initiation of any new ACH transaction through the Services. During the time that the Tenant makes Tenant Payments to the Landlord through the Services, both parties agree to ensure that all bank account and ACH information are up-to-date and accurate.

3.4. If a Tenant’s bank or card issuer initiates a reversal, chargeback, or payment dispute of a payment made to you, you authorize Baselane and our third-party payment processors to reverse or otherwise claim the funds from your account. plus any interest charges accrued pursuant to Section 1.1.3 of these Payment Terms. Baselane may also initiate a reversal, or take other actions we determine to be appropriate, if, in Baselane’s reasonable opinion, fraud or abuse of the Baselane Platform has occurred. In the event we are unable to reverse or otherwise debit funds from your account, you agree promptly to deposit such funds upon our request.

3.5. BASELANE IS NOT A COLLECTION COMPANY AND IN NO WAY GUARANTEES PAYMENT BY TENANT NOR DOES IT INHERIT THE RISK ASSUMED BY ANY PARTY IN RELATION TO ANY TRANSACTION PERFORMED THROUGH THE SERVICE.
