BY ACCESSING OR USING PAID SERVICES, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF PAID SERVICES, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS. IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THESE PAYMENT TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE PAID SERVICE.
1. GENERAL TERMS
1.1 Payment of Fees. You agree to pay all fees or charges to your Account in accordance with the fees, charges and billing terms in effect at the time a fee or charge is due and payable.
1.2 Rent Payments. Tenants may be able to use the Services to make rent payment to participating Landlords for properties connected to the Services. In such event, the payments will be processed in accordance with Section 1.3 and 1.4 of these Payment Terms. Please note that additional terms related to rent payment or collection through the Services are set forth in Section 4 below.
Payment Processing. You must provide a valid credit card (Visa, MasterCard, or any other issuer accepted by us) (a “Payment Provider”) as a condition to signing up for any part of the Services that requires payment, which may include without limitation signing up for a Service Subscription (defined below) or electing to use the rent payment feature (unless you opt to pay via ACH). Baselane uses Stripe, Inc. or its affiliates (collectively, “Stripe”) to execute online payment transactions using information you provide about your Payment Provider. By using the Payment Processing Services to execute Visa or Mastercard transactions, you agree to the Wells Fargo Financial Services Terms, and the BBVA USA Financial Services Terms. This may be updated from time to time. Any authorization you provide to make repeating automatic payments using the Service will remain in effect until cancelled. Your Payment Provider agreement governs your use of the designated credit card or PayPal account, and you must refer to that agreement, not this Agreement, to determine your rights and liabilities. You agree to immediately notify Baselane of any change in your billing address or the credit card used for payment hereunder. Baselane reserves the right at any time to change its prices and billing methods, either immediately upon posting on or through the Services or by e-mail delivery to you.
By providing Baselane with your Payment Provider information or any other banking, credit/debit card, or other payment information, you authorize us to use it and disclose it to Stripe or other payment gateway providers for the purpose of processing the payments you authorize on or in connection with the Services. Payment Providers may also aggregate your information for other purposes, but only in ways that don’t identify you personally or disclose any personal information about you, and may disclose your personal information when necessary to comply with the law.
1.3 Fraud; Remedies. You agree to, and acknowledge, our right to investigate any and all transactions for fraud, and you agree to cooperate with any reasonable requests made by Baselane in an effort to investigate any fraud. Furthermore, if any payment you initiate using the Services does not successfully complete for any reason, Baselane reserves the right to seek payment from you via or outside the Services. Without limiting the foregoing, Baselane reserves the right to seek reimbursement from you if Baselane discovers a fraudulent, erroneous, or duplicate transaction related to your Account, or, in the case of Landlords, if Baselane receives a chargeback or reversal related to any Tenant payments for one of your properties for which you use the Services. You agree that Baselane has the right to obtain such reimbursement by charging your Account, your credit card, or any bank account associated with your Account, or obtaining reimbursement by any other lawful means, including using a third-party collection agency. Failure to pay for reimbursements of a chargeback or a reversal of payment is cause for termination of your Account. The rights and remedies set forth in this Section 1.4 shall be in addition to, and not in place of or otherwise limiting, any and all other rights and remedies of Baselane.
1.4 Free Trial. Some Paid Services start with a free trial period (the “Free Trial”), which shall have the duration set forth herein or otherwise indicated when you signed up for the Free Trial. The Free Trial period commences on the day you sign up for the applicable Paid Service. The Free Trial must be used within the specified time of the trial. BASELANE WILL BEGIN PROCESSING YOUR PAYMENT FOR THE APPLICABLE FEE AMOUNT AT THE END OF THE FREE TRIAL.
2. LANDLORD SUBSCRIPTION SERVICES.
In order to use the Services as a Landlord, including without limitation to access the Landlord portal, you must sign up for a subscription (a “Service Subscription”) to the Landlord Services and pay the applicable Service Subscription Fee as set forth below:
2.1 Pricing Tiers. Fees associated with each Service Subscription for (the “Service Subscription Fees”) for the Landlord Service are based on your pricing tier (each, a “Pricing Tier”). Your Pricing Tier is determined by the number of rental units (each, a “Unit”) linked to your Account, provided that if you exceed the amount of Units allotted for your current Pricing Tier, Baselane will automatically upgrade your Account to the appropriate Pricing Tier and charge you the applicable, pro-rated Service Subscription Fee for the remainder of the then-current Service Subscription period and any renewals thereof, subject to Sections 2.2 and 2.3.
- Starter ($7.50/billed monthly or $75.00/billed annually): This Pricing Tier allows you to link a maximum of One Unit to your Account.
- Pro ($15.00/billed monthly or $150.00/billed annually): This Pricing Tier allows you to link a maximum of Four Units to your Account.
- Portfolio ($18.00/billed monthly or $180.00/billed annually): This Pricing Tier allows you to link a maximum of Five Units to your Account; and once you have Five Units linked to your Account, you shall automatically incur an additional monthly fee of $2.40 (if billed monthly) or $2.00 (if billed annually) for each additional Unit you add.
2.2 No Service Subscription Downgrades. Once your Service Subscription has been upgraded, you cannot downgrade to a lower Pricing Tier for the current Service Subscription period, even if the number of Units linked to your Account drops below the limit for a lower Pricing Tier. For clarity, removal of a Unit from your Account may provide you with the opportunity to link a different Unit to your Account (by providing an empty “space” in your allotment that can be filled) but will not allow you to drop to a lower Pricing Tier, even if such space is not filled.
2.3 Fees at Renewal. Your Service Subscription Fees for renewal Service Subscription periods will be set at the then-current pricing for your current Pricing Tier, and you are responsible for reviewing the fees charged by Baselane prior to renewal. If you have decreased the amount of Units linked to your Account such that you are at or below the maximum amount of Units for a lower Pricing Tier, you may opt into such lower Pricing Tier for your next renewal Service Subscription period by electing to downgrade your subscription tier through the Service portal within one (1) day of the end of your then-current Service Subscription period.
2.4 Payment for Subscription Services. Baselane will begin processing your payment for the Service Subscription Fee at the end of the Free Trial and will continue billing you throughout the applicable Service Subscription period in accordance with the Service Subscription plan selected by you. For the Landlord Services, the Free Trial is sixty (60) days unless otherwise indicated by Baselane in writing, and you will be responsible for payment of all applicable Service Subscription Fees starting sixty (60) days after you create your Account and select your monthly or annual package. Notwithstanding your sign-up for any Services, no contract will exist between you and Baselane for the Services until Baselane accepts your order by a confirmatory e-mail or other appropriate means of communication.
2.5 AFTER YOUR INITIAL SERVICE SUBSCRIPTION PERIOD, AND AGAIN AFTER ANY SUBSEQUENT SERVICE SUBSCRIPTION PERIOD, YOUR SERVICE SUBSCRIPTION WILL AUTOMATICALLY COMMENCE ON THE FIRST DAY FOLLOWING THE END OF SUCH PERIOD (EACH A “RENEWAL COMMENCEMENT DATE”) AND CONTINUE FOR AN ADDITIONAL EQUIVALENT PERIOD, AT BASELANE’S THEN-CURRENT PRICE FOR SUCH SERVICE SUBSCRIPTION. YOUR SERVICE SUBSCRIPTION WILL REMAIN IN FULL FORCE AND EFFECT UNTIL TERMINATED IN ACCORDANCE WITH THIS AGREEMENT. IF YOU WISH TO CHANGE OR TERMINATE YOUR SERVICE SUBSCRIPTION, PLEASE CONTACT BASELANE AT [email protected].
a) FOR MONTHLY SERVICE SUBSCRIPTIONS, YOU AGREE THAT YOUR ACCOUNT WILL BE SUBJECT TO THIS AUTOMATIC RENEWAL FEATURE UNLESS YOU CANCEL YOUR SERVICE SUBSCRIPTION AT LEAST FIFTEEN (15) DAYS PRIOR TO THE RENEWAL COMMENCEMENT DATE (OR IN THE EVENT THAT YOU RECEIVE A NOTICE FROM BASELANE THAT YOUR SERVICE SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED, YOU WILL HAVE FIFTEEN (15) DAYS FROM THE DATE OF THE BASELANE NOTICE), BY CONTACTING [email protected].
b) FOR ANNUAL SERVICE SUBSCRIPTIONS, YOU AGREE THAT YOUR ACCOUNT WILL BE SUBJECT TO THIS AUTOMATIC RENEWAL FEATURE UNLESS YOU CANCEL YOUR SERVICE SUBSCRIPTION AT LEAST THIRTY (30) DAYS PRIOR TO THE RENEWAL COMMENCEMENT DATE (OR IN THE EVENT THAT YOU RECEIVE A NOTICE FROM BASELANE THAT YOUR SERVICE SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED, YOU WILL HAVE THIRTY (30) DAYS FROM THE DATE OF THE BASELANE NOTICE), BY CONTACTING [email protected].
c) If you cancel your Service Subscription, you may use the applicable Paid Service until the end of your then-current Service Subscription period; after that, your access to the applicable Paid Services will be restricted. Once you cancel your Service Subscription, your Service Subscription will not be renewed after your then-current Service Subscription period expires. However, you will not be eligible for a prorated refund of any portion of the Service Subscription Fees paid for the then-current Service Subscription period. Please see additional terms related to recurring payments and cancellations in Section 4 below.
3. NO REFUNDS.
ALL FEES FOR, AND PAYMENTS MADE TO OR THROUGH, THE SERVICES ARE NON-REFUNDABLE. BASELANE WILL NOT PROVIDE REFUNDS OR CREDITS FOR ANY REASON, INCLUDING WITHOUT LIMITATION ANY PARTIAL OR UNUSED PERIODS OF SERVICE.
4. AUTOMATIC RENEWAL AND RECURRING PAYMENTS.
4.1 Recurring Payments. By subscribing to a Service Subscription or signing up for recurring rent payments, you authorize Baselane to process your payment through Stripe, Plaid, or other applicable method on a recurring, repeat basis, without further authorization from you, in accordance with the frequency set forth herein or otherwise indicated through the Services (each, a “Recurring Payment”). For Service Subscriptions, we will charge your Payment Provider on or around the date you sign up for the Services, and again at the beginning of any subsequent Service Subscription period. For rent payments, we will charge your Payment Provider or bank account on or around the date(s) you and/or the applicable Landlord has indicated for payment through the Services (each a, “Rent Payment Date”).
4.2 Failure to Pay. If Baselane is unable to process your Recurring Payment when due, (a) you agree to pay all amounts due on your Account upon demand and/or (b) you agree that Baselane may either terminate or suspend your Service Subscription or access to the Services and continue to attempt to process your payment until payment is received. Upon receipt of payment, your Account will be activated and, for Landlords, for purposes of automatic renewal, your new Service Subscription commitment period will begin as of the day payment was received. For Tenants, there will be no changes to your Rent Payment Date unless indicated by you and/or the applicable Landlord.
4.3 Continued Payment; Cancellation. Your Recurring Payment obligation will continue indefinitely until the applicable service (i.e. Service Subscription or rent payment) is terminated in accordance with the Landlord Terms or Tenant Terms, or as otherwise set forth herein. YOUR RECURRING PAYMENT WILL REMAIN IN FULL FORCE AND EFFECT UNTIL TERMINATED IN ACCORDANCE WITH THIS AGREEMENT. IF YOU WISH TO CHANGE OR TERMINATE YOUR RECURRING PAYMENT, PLEASE CONTACT BASELANE AT [email protected]. Cancellation terms for Service Subscriptions are set forth in Section 3 above. FOR RECURRING PAYMENT, YOU AGREE THAT YOUR ACCOUNT WILL BE SUBJECT TO THIS AUTOMATIC RENEWAL FEATURE UNLESS YOU CANCEL YOUR RECURRING PAYMENT THROUGH THE SERVICE AT LEAST ONE DAY PRIOR TO THE NEXT RENT PAYMENT DATE, BY CONTACTING [email protected].
4.4 Processing at Baselane’s Sole Discretion. Baselane may refuse to process requested Service Subscription Fees or Recurring Payments if we believe, in our sole discretion, that doing so is necessary to protect us, our business, our users, or any third parties, including without limitation if we believe that you may be (a) impersonating another person; (b) violating the intellectual property or other rights of any entity; or (c) committing any fraudulent act; or (d) providing any information that we may otherwise reject for any or no reason in our sole discretion.
4.5 Disclaimer. Without limiting the generality of the foregoing, you acknowledge and agree that cancellation of the Services or a Recurring Payment may lead to one or more of the following, and Baselane will have no liability or responsibility to you in the event of any such occurrence: you may not be able to collect or pay rent payments; add new rental Units to your profile; input any new data, information, or documentation into the Services; or access, view, download, or otherwise obtain any reports, analyses, data, or information from the Services. For additional information on your ability or inability to access or use the Services, please see the Landlord Terms or Tenant Terms, as applicable. BASELANE HAS NO RESPONSIBILITY OR LIABILITY RELATED TO OR ARISING FROM ANY DELAYS OR FAILURES IN PAYMENT MADE TO OR THROUGH THE SERVICES.
5. ADDITIONAL TERMS RELATED TO RENT COLLECTION AND PAYMENT.
As mentioned above, the Services may make available to you features and tools that you may be able to use to collect or pay rent for a property for which the Services are used. For example, Tenants can set up automatic, recurring payments to Landlords, provided that both parties have linked their bank accounts, or, in the case of Tenant, by linking a credit or debit card to the Services. The following additional terms also apply to use of the Services in connection with rent payment or collection:
5.1 Paying rent with Baselane via the ACH network is currently free for Tenants. If Tenants choose to pay rent via a debit or credit card, Tenants shall incur an additional 2.99% convenience fee, which shall be based on, and added to, each payment the Tenant makes through the Services (each, a “Tenant Payment”).
5.2 Baselane never takes custody of money transferred using the Services, and we are not responsible for what recipients do with the payments.
5.3 If a Tenant Payment is rejected for Non-Sufficient Funds (“NSF”), it will be the Tenant’s responsibility to initiate a new transaction or to make the Tenant Payment in some other manner and pay Baselane the NSF fee. It will be the Landlord’s responsibility to assess a late Tenant Payment fee, if any, to Tenant. Tenant will be required to pay the NSF fee, and any late fees assessed by the Landlord, on or before the initiation of any new ACH transaction through the Services. During the time that the Tenant makes Tenant Payments to the Landlord through the Services, both parties agree to ensure that all bank account and ACH information are up-to-date and accurate.
5.4 BASELANE IS NOT A COLLECTION COMPANY AND IN NO WAY GUARANTEES PAYMENT BY TENANT NOR DOES IT INHERIT THE RISK ASSUMED BY ANY PARTY IN RELATION TO ANY TRANSACTION PERFORMED THROUGH THE SERVICE.
